Terms of Use for Hireel

1. Acceptance of the Terms of Use

These terms of use are entered into by and between you and HiReel ("Company," "we," or "us"). The following terms and conditions ("Terms of Use") govern your access to and use of the HiReel mobile application (the "App" or "Services"), including any content, functionality, and services offered on or through the App.

Please read the Terms of Use carefully before you start to use the App. By downloading, registering with, or using the App, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy. If you do not want to agree to these Terms of Use, you must not access or use the App.

This App is offered and available to users who are 16 years of age or older (or the equivalent minimum age in your jurisdiction). By using this App, you represent and warrant that you are of legal age to form a binding contract with the Company. If you do not meet all of these requirements, you must not access or use the App.

2. Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the App following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page (or the "About" section in the App) from time to time so you are aware of any changes.

3. Accessing the App and Account Security

We reserve the right to withdraw or amend this App, and any service or material we provide on the App, in our sole discretion without notice. We will not be liable if for any reason, all or any part of the App is unavailable at any time.

To access the App or some of the resources it offers, you may be asked to provide certain registration details or other information. You agree that all information you provide to register with this App is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security.

4. Subscriptions and Billing (iOS Specific)

Certain features of the App may require a paid subscription or a one-time purchase ("In-App Purchase").

• Payment: All payments are processed through your Apple ID account. You agree to the applicable Apple Media Services Terms and Conditions.
• Subscriptions: If you purchase a recurring subscription, your Apple ID account will be charged automatically at the end of each subscription period (e.g., monthly or annually) unless you cancel it at least 24 hours before the end of the current period.
• Cancellation: You can manage and cancel your subscriptions in your iOS Settings > Apple ID > Subscriptions. We cannot cancel your subscription on your behalf.
• Refunds: All refund requests are handled directly by Apple according to their refund policy. We do not have the ability to issue refunds directly for purchases made through the App Store.

5. Prohibited Uses

You may use the App only for lawful purposes and in accordance with these Terms of Use. You agree not to use the App:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
• To generate, upload, or share content that contains Child Sexual Abuse Material (CSAM). We report all such content to the National Center for Missing & Exploited Children (NCMEC) and relevant authorities.
• To transmit any advertising or promotional material, including any "spam."
• To impersonate the Company, a Company employee, another user, or any other person.
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the App.

6. User Contributions and AI Generated Content

The App allows you to input text prompts, upload photos/videos ("User Contributions") to generate new video or image content ("User Generated Content" or "AI Content").

• Ownership: You retain ownership of your original User Contributions. To the extent permitted by law, you own the AI Content generated by you using the App, subject to your compliance with these Terms.
• License to Company: By using the App, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and process your User Contributions and AI Content solely for the purpose of operating, improving, and providing the Services to you (e.g., processing your video generation request).
• Responsibility: You are solely responsible for your User Contributions and any AI Content you generate. You represent and warrant that you have all necessary rights to the photos/videos you upload. Do not upload photos of others without their consent.

7. Content Standards

User Contributions and User Generated Content must NOT:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• Promote sexually explicit or pornographic material.
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
• Violate the legal rights (including the rights of publicity and privacy) of others.
• Promote any illegal activity.

8. Monitoring and Enforcement; Termination

We have the right to:

• Remove or refuse to process any User Contributions or User Generated Content for any or no reason in our sole discretion.
• Terminate or suspend your access to all or part of the App for any violation of these Terms of Use.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the App.

Note regarding AI Safety: We employ automated content moderation tools to block the generation of harmful content. However, we cannot guarantee that all objectionable material will be blocked. You use the AI generation features at your own risk.

9. Intellectual Property Rights of the App

The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), excluding your User Generated Content, are owned by the Company, its licensors, or other providers of such material and are protected by copyright, trademark, and other intellectual property laws.

10. Disclaimer of Warranties

YOUR USE OF THE APP IS AT YOUR OWN RISK. THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND. THE COMPANY DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES.

11. Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS BE LIABLE FOR DAMAGES OF ANY KIND, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE APP, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Company from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the App.

13. Governing Law and Jurisdiction

All matters relating to the App and these Terms of Use shall be governed by and construed in accordance with the internal laws of [Your Jurisdiction, e.g., Singapore or Delaware, USA]. Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use shall be instituted exclusively in the courts of [Your Jurisdiction].

14. Apple-Specific Terms

In addition to the foregoing, the following terms apply to users downloading the App from the Apple App Store:

• Acknowledgement: You and the Company acknowledge that this Agreement is concluded between you and the Company only, and not with Apple Inc. ("Apple"). The Company, not Apple, is solely responsible for the App and the content thereof.
• Maintenance and Support: The Company is solely responsible for providing any maintenance and support services for the App. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
• Warranty: In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.
• Product Claims: The Company, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.
• Intellectual Property Rights: In the event of any third-party claim that the App or your possession and use of that App infringes that third party's intellectual property rights, the Company, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
• Third Party Beneficiary: You and the Company acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.
